Terms of Service

1. User Accounts and Eligibility

1.1. Age Requirement: You must be at least eighteen (18) years of age to create an account and use the Service. By creating an account, you represent and warrant that you are of legal age to form a binding contract with TubeGen LTD.

1.2. Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately at support@tubegen.ai of any unauthorized use of your account or any other breach of security.

1.3. Account Sharing: You are prohibited from sharing your account credentials. An account is for use by a single individual unless you have purchased a subscription plan that explicitly permits multiple seats. Unauthorized account sharing is a violation of these Terms.

1.4. Account Suspension and Termination: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any conduct that we believe violates these Terms, including but not limited to: (a) Non-payment of fees; (b) Any violation of the Acceptable Use Policy outlined in Section 4; (c) Any violation of the terms of service of our third-party AI service providers. Upon termination, your right to use the Service will immediately cease, and you will forfeit any remaining credits without a refund.

2. Intellectual Property and Content

2.1. Ownership of Generated Content: You retain all ownership rights to the video scripts, voiceovers, images, titles, and other content you create using the Service ("Generated Content").

2.2. Responsibility for Content: You are solely responsible for the Generated Content and ensuring that it complies with all applicable laws, regulations, and third-party rights, including copyright and trademark law. TubeGen AI is a tool for content creation, and you bear full legal liability for the content you produce and publish.

2.3. "Style Creation" Feature: When using the "Style Creation" feature, you may provide URLs to existing YouTube videos to analyze their transcripts for tone and flow. You represent and warrant that you have the right to use these transcripts for this purpose and that your use does not infringe on the intellectual property rights of the original creators.

2.4. No License to TubeGen AI: We do not claim any rights to your Generated Content and will not use it for any purpose without your express prior consent.

3. Payments, Subscriptions, and Refunds

3.1. Subscriptions and Credits: Access to the Service requires a monthly subscription, which provides you with a set number of credits. These credits are consumed when you use the generation features of the Service.

3.2. Overage Charges: If a generation request requires more credits than are remaining in your monthly allotment, and you choose to proceed, you will incur an overage charge for the credits needed to complete that generation. You authorize us to charge your designated payment method for any such overages.

3.3. Payment Processor: We use Stripe, Inc. ("Stripe") as our third-party payment processor. By using our Service, you agree to be bound by Stripe's Services Agreement. We are not responsible for any errors by the payment processor.

3.4. Subscription Cancellation: You may cancel your subscription at any time. The cancellation will be effective at the end of your current billing cycle. You will retain access to your plan and any remaining credits until the end of that billing period.

3.5. No Refunds: All fees for subscriptions and overage charges are non-refundable.

3.6. Price Changes: We reserve the right to change our subscription prices. We will provide you with at least seven (7) days' notice of any price changes. Your continued use of the Service after a price change constitutes your agreement to the new pricing.

4. Acceptable Use Policy

4.1. Prohibited Content: You agree not to use the Service to create any content that violates the YouTube Terms of Service or Community Guidelines. This includes, but is not limited to, content that is: hateful, harassing, discriminatory, defamatory, infringing on intellectual property rights, sexually explicit, or promotes illegal acts. You also may not use the Service to create content depicting a real, identifiable person without that person's consent — including deepfakes, voice clones, or other synthetic or altered media that could mislead viewers about a real person's appearance, statements, actions, or affiliations.

4.2. Prohibited Actions: You are prohibited from: (a) Reverse engineering, decompiling, or attempting to discover the source code of the Service; (b) Using automated systems like bots or scrapers to abuse our API or access the Service; (c) Reselling, sublicensing, or otherwise commercially exploiting the Service without our express written consent.

4.3. Third-Party Terms: The Service integrates APIs from various third-party providers, including (without limitation) Anthropic, OpenAI, xAI, Eleven Labs, Google (used solely as an image-generation backend, not for text generation), Ideogram, fal.ai, Runware, HeyGen, Storyblocks, Stripe, Whop, and — if you enable the optional YouTube integration — YouTube via the YouTube API Services. Your use of the Service is contingent on your adherence to each provider's respective terms of service and acceptable use policies (including, where applicable, the YouTube Terms of Service and the Google Privacy Policy). Any violation of these downstream terms is considered a violation of these Terms.

5. YouTube Integration

5.1. Scope. TubeGen offers an optional integration with YouTube via the YouTube API Services. If you choose to connect your YouTube channel, this Section 5 governs your use of that integration in addition to the rest of these Terms.

5.2. Additional Terms You Agree To. By connecting your YouTube channel, you also agree to be bound by:

• the YouTube Terms of Service;
• Google's Privacy Policy;
• the YouTube Community Guidelines.

If you do not agree with the above, you must not use the YouTube integration.

5.3. Authorization. When you connect your YouTube channel, you authorize TubeGen to act as your agent for the limited purposes of (a) reading your channel and video data through the YouTube Data API and displaying that data inside TubeGen, and (b) uploading and publishing videos to your YouTube channel when, and only when, you explicitly initiate a publish action from within TubeGen. TubeGen is not a publisher of your content; you are.

5.4. Responsibility for Uploaded Content. You retain full ownership of any video you upload through TubeGen. You are solely responsible for ensuring that every video you publish to YouTube through TubeGen complies with the YouTube Terms of Service, the YouTube Community Guidelines, applicable copyright and trademark law, the rights of any third party, and all applicable laws and regulations. TubeGen has no obligation to review, approve, or moderate content uploaded to YouTube through the integration, and is not liable for the consequences of your uploads (including but not limited to copyright strikes, channel demonetization, community-guideline strikes, channel termination, or third-party claims).

5.5. Synthetic and AI-Generated Content. Because TubeGen is an AI content-generation platform, videos you publish through it may be wholly or partially synthetic. YouTube requires that certain altered or synthetic content be disclosed to viewers. You are solely responsible for complying with YouTube's then-current disclosure rules for AI-generated, altered, or synthetic content, including labeling such content as required by YouTube.

5.6. Disconnecting. You may disconnect your YouTube channel from TubeGen at any time from Settings → Connected Accounts inside TubeGen, or by visiting https://myaccount.google.com/permissions to revoke TubeGen's access through Google. After disconnection, TubeGen no longer has the ability to read your channel data or publish on your behalf; videos already uploaded to your channel through TubeGen remain on your channel and continue to be governed solely by YouTube.

5.7. Quota and Availability. The YouTube integration depends on the availability of the YouTube API Services and on quota allocated by Google to TubeGen. We may rate-limit, queue, or temporarily suspend integration features (including uploads) to stay within Google's quota limits or to comply with YouTube's policies. TubeGen makes no guarantee of uptime, throughput, or feature availability for the YouTube integration.

6. Disclaimers and Limitation of Liability

6.1. "AS IS" Disclaimer: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TubeGen LTD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE'S RELIABILITY, ACCURACY, COMPLETENESS, OR AVAILABILITY. YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. AI-GENERATED CONTENT CAN CONTAIN INACCURACIES, AND YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL GENERATED CONTENT, INCLUDING INFORMATION FROM THE WEB SEARCH FEATURE, BEFORE USE OR PUBLICATION.

6.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TubeGen LTD, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF TubeGen LTD FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless TubeGen LTD and its affiliates, directors, officers, and employees from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (i) your access to or use of the Service; (ii) your violation of these Terms; or (iii) your Generated Content, including any claim that your content infringes upon the intellectual property rights of a third party.
