Affiliate Program Terms of Service

1. Enrollment and Eligibility

1.1. Age Requirement: You must be at least eighteen (18) years of age and able to form a binding contract to enroll in the Program. By enrolling, you represent and warrant that you meet this requirement.

1.2. Account Responsibility: You are responsible for maintaining accurate enrollment and payout information and for keeping it current. You accept responsibility for all activity that occurs under your Partner account.

1.3. Approval and Removal: Enrollment is not approved in advance, but we reserve the right to approve, decline, suspend, or remove any applicant or Partner at our sole discretion, with or without cause and without notice.

2. Referral Tracking and Attribution

2.1. Tracking Method: Referrals are tracked through our affiliate platform (Tolt) using your unique referral link and any assigned coupon code. Attribution is determined solely by our platform's records.

2.2. Cookie Window: Attribution uses a thirty (30) day cookie window measured from the referred user's first click, subject to the user's browser and device settings.

2.3. Limitations: We do not guarantee tracking and are not responsible for attribution failures caused by ad blockers, cookie deletion, cross-device behavior, or third-party platform limitations. Only referrals attributed through approved tracking methods are eligible for Commission.

3. Commissions and Discounts

3.1. Recurring Commission: You earn a recurring Commission for the life of each referred subscription, paid every billing cycle for as long as the referred customer maintains an active paid subscription, with no time limit, subject to these Affiliate Terms.

3.2. Tiers: The Program has two tiers:

• Public Tier — ten percent (10%). Open to all approved Partners. No application is required.
• Partner Tier — fifteen percent (15%). Application-based. You may apply once you maintain ten (10) or more active referred customers and two thousand five hundred dollars ($2,500) or more in referred monthly recurring revenue. Admission is by individual review and at our sole discretion. Partner Tier benefits include priority support, co-marketing, and community access.

3.3. Basis of Calculation: Commissions are calculated on the amount actually received by TubeGen AI, net of discounts, taxes, processing fees, refunds, and chargebacks.

3.4. Customer Discount: Referred customers receive three percent (3%) off their first payment only; every payment thereafter is at standard pricing.

3.5. When Earned: A Commission is earned only when the underlying transaction becomes final. Commissions on transactions that are pending, refunded, charged back, cancelled, self-referred, or generated through any conduct prohibited under Section 6 are not earned and will not be paid.

4. Payouts and Taxes

4.1. Payout Processing: Payouts are processed through Tolt's automated payouts on a monthly basis, following a thirty (30) day holding period that allows the underlying charge to clear the refund and chargeback window, and once your balance reaches the thirty dollar ($30) minimum payout threshold.

4.2. Independent Tax Responsibility: You are an independent contractor and are solely responsible for all taxes owed on your Commissions.

4.3. Required Tax Documentation: Because we use Tolt's automated payouts, Tolt collects the required tax forms — a Form W-9 from United States Partners and a Form W-8BEN (or W-8BEN-E) from international Partners — and files information returns (such as Form 1099) where required. You must submit a valid tax form before any payout is released. Depending on your jurisdiction, tax may be withheld as required by law.

5. Promotion and Disclosure

5.1. Permitted Promotion: You may promote TubeGen AI only through channels you own or control, including your own videos, websites, newsletters, social media accounts, and communities. You must always make clear that any referral is your own recommendation.

5.2. Required Disclosure: You must label your referral link as an affiliate link wherever you share it, in compliance with the United States Federal Trade Commission (FTC) endorsement guidelines, using the following format adjacent to the link:

Affiliate link: tubegen.ai/yourname

5.3. Platform Compliance: You must comply with all applicable laws and with the terms and policies of every platform you use to promote the Program, including Google, YouTube, and Meta.

6. Prohibited Conduct

The following are strictly prohibited. Engaging in any of them voids all related Commissions and may result in immediate removal from the Program and reversal of amounts already paid, as described in Section 8.

6.1. No Paid Advertising: You may not run paid advertising of any kind — including paid search, display, video, shopping, or social advertising — to promote TubeGen AI. You may promote only through your own content.

6.2. No Brand or Trademark Bidding: You may not bid on, target, or purchase the TubeGen AI name, logo, or brand, or any variation, misspelling, plural, or combination thereof, as a keyword or targeting term on any platform.

6.3. No Impersonation: You may not use the TubeGen AI name or logo in advertising, and you may not operate any page, account, advertisement, or content that poses as TubeGen AI or suggests that you are officially affiliated with, endorsed by, or speaking on behalf of TubeGen AI.

6.4. No Branded Coupon Pages: You may not create "TubeGen coupon," "TubeGen promo code," "TubeGen discount," or similar pages, and you may not post fake, expired, or unauthorized coupon codes.

6.5. No Self-Referrals: You may not refer yourself, use your own referral link or coupon code to obtain a discount, or enroll customers in exchange for unauthorized rebates or incentives.

6.6. No Fraudulent Traffic: You may not use cookie stuffing, forced or automated clicks, bots, hidden pixels, iframes, adware, malware, or any technique that claims attribution the user did not knowingly initiate.

6.7. No Spam: You may not promote the Program through unsolicited email, SMS, messaging, or comment spam, or any communication that violates anti-spam laws or platform rules.

6.8. No Misleading Claims: You may not make false or misleading statements about TubeGen AI, its features, pricing, performance, or results.

6.9. Prohibited Contexts: You may not promote TubeGen AI on or alongside content that is illegal, infringing, hateful, sexually explicit, or that otherwise violates the Acceptable Use Policy in our Terms of Service.

7. Trademark and Brand License

7.1. Limited License: Subject to your compliance with these Affiliate Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the TubeGen AI name and logo solely as reasonably necessary to promote TubeGen AI to your own audience, and only in the manner we permit.

7.2. Restrictions: This license does not extend to any use described in Section 6, and we may revoke it at any time. All goodwill arising from your use of the TubeGen AI name and logo inures solely to TubeGen AI. You acquire no ownership of, or other rights in, the TubeGen AI brand beyond this limited license.

8. Commission Reversals, Withholding, and Forfeiture

8.1. Reversals: Commissions tied to transactions that are refunded, charged back, cancelled, downgraded, or otherwise reversed will be deducted from your balance or recovered, including after payment.

8.2. Forfeiture: Commissions arising from or connected to any conduct prohibited under Section 6 are not earned, are forfeited, and may be withheld or reversed in full, including amounts already paid.

8.3. Withholding During Investigation: We may withhold any or all pending Commissions and suspend your account while we investigate suspected violations or fraud.

8.4. Recovery of Paid Amounts: If we have already paid Commissions that are later determined to be unearned or connected to prohibited conduct, you agree to repay those amounts on demand, and we may offset them against any current or future Commissions owed to you.

8.5. Determination: We determine, in our sole and reasonable discretion, whether conduct violates these Affiliate Terms and whether a Commission qualifies for payment. Our records are presumed accurate absent clear evidence to the contrary.

9. Independent Contractor Relationship

9.1. No Agency: You are an independent contractor. Nothing in these Affiliate Terms creates any employment, agency, partnership, joint venture, or franchise relationship between you and TubeGen AI.

9.2. No Authority: You have no authority to act for, bind, incur obligations for, or make any representation or warranty on behalf of TubeGen AI. You may not hold yourself out as an employee, agent, or official representative of TubeGen AI, and you may not state or imply that your advertising, content, or statements are made on behalf of or with the authority of TubeGen AI.

9.3. Your Responsibility: You are solely responsible for your own promotional methods, content, expenses, and compliance with all applicable laws and platform policies.

10. Term, Suspension, and Termination

10.1. Termination: Either party may terminate your participation in the Program at any time, for any reason, with or without notice.

10.2. Suspension for Cause: We may suspend or terminate your participation immediately, and disable your referral links, if we believe you have engaged in conduct prohibited under Section 6 or have otherwise breached these Affiliate Terms.

10.3. Effect of Termination: Upon termination for any reason, your right to use the TubeGen AI name, logo, and referral links ends immediately. Pending Commissions for compliant, qualifying sales will be paid on the normal schedule, except that Commissions connected to any violation are forfeited. Sections that by their nature should survive termination, including Sections 6, 7, 8, 9, 11, 12, and 13, will survive.

11. Disclaimers and Limitation of Liability

11.1. "AS IS" Disclaimer: THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TubeGen LTD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM'S AVAILABILITY, TRACKING ACCURACY, OR THE AMOUNT OF COMMISSIONS YOU MAY EARN. PARTICIPATION DOES NOT GUARANTEE ANY LEVEL OF EARNINGS. WE MAY MODIFY, SUSPEND, OR DISCONTINUE THE PROGRAM, IN WHOLE OR IN PART, AT ANY TIME.

11.2. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TubeGen LTD, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF TubeGen LTD FOR ALL CLAIMS RELATING TO THE PROGRAM EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU FOR VALID QUALIFYING SALES DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless TubeGen LTD and its affiliates, directors, officers, and employees from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (i) your participation in the Program; (ii) your promotional methods, content, or advertising; (iii) your violation of these Affiliate Terms or of any law or third-party right; or (iv) your use of the TubeGen AI name or logo.
